Terms of Service

1. Acceptance of Terms

 

By accessing or using the Singularity Language platform, including its specialized programming language, tools, and documentation (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). These Terms form a legally binding agreement between you and Singularity Language, LLC (“Company,” “we,” or “us”). If you do not agree to these Terms, you must not use or access the Services.

You represent and warrant that you are of legal age and capacity to form a binding contract, and that all information you submit to us (if any, such as account registration data) is truthful and accurate. If you are using the Services on behalf of an organization or entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” shall refer to the entity. You may use the Services only in compliance with these Terms and all applicable laws and regulations.

2. Description of Services

 

Singularity Language, LLC provides a platform for developers and engineers centered around the Singularity programming language. Our Services include the programming language itself, development tools, libraries, documentation, and a community platform where users may access, create, publish, or consume code modules and other content related to Singularity (“Content”). These Terms govern all use of the Services, including any contributions or interactions you have on the Singularity platform.

3. License Options and Restrictions

 

Your use of the Singularity programming language and associated resources is subject to one of two license types. Before using the Services, you must choose and agree to the appropriate license based on your intended use:

  • Personal Research Use License: This license applies only to non-commercial, individual research or personal projects. It permits you to use the Singularity language and documentation for your own personal, non-profit research, experimentation, or educational purposes. Under this license, you must not use the Services for any commercial advantage or monetary compensation (including on behalf of any organization, or in projects funded by third parties).
     

  • Singularity Commercial Use License: This license is required for any commercial or funded use of the Singularity language or Services. If you are using the Services for profit, as part of a business, for an employer or client, in a funded research project, or in any manner intended for revenue or product development, you must obtain and comply with the Singularity Commercial Use License. This license grants you rights to use Singularity in commercial applications or research in exchange for agreed fees or terms.
     

No Unlicensed Use: You agree that you will not use the Singularity language or Services in any way that falls outside the scope of the license you have selected. If your situation changes (for example, a personal project becomes funded or commercial), you must promptly obtain the appropriate Singularity Commercial Use License. No rights are granted by implication or outside the express terms of the applicable license. Singularity Language, LLC and its licensors retain all rights, title, and interest in the Services not explicitly granted to you under these licenses. You shall not reproduce, distribute, modify, or create derivative works from our software or content except as permitted by your license and these Terms.

Interpretation and Enforcement: Singularity Language, LLC has sole authority to interpret the terms of the Personal Research Use License and Singularity Commercial Use License, and to determine whether your activities fall within the permitted scope. Our determination is final and binding. Any attempt by you to reinterpret, circumvent, or exceed the granted license (for example, using a Personal Research license for commercial endeavors, or misrepresenting the nature of your use) is a violation of these Terms.

4. Intellectual Property Ownership

 

All rights, title, and interest in and to the Singularity Language, its compiler/interpreter, libraries, documentation, website, and all other materials provided by the Company (“Company Materials”) are owned by Singularity Language, LLC or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. Subject to your compliance with these Terms and the appropriate license, the Company grants you a limited, revocable, non-exclusive, non-transferable license to use the Company Materials solely as enabled by the Services and allowed by your selected license.

Nothing in these Terms or the act of using the Services transfers any ownership of intellectual property to you. Except for the licenses expressly granted to you, we reserve all rights in the Company Materials. You may not remove or alter any copyright, trademark, or proprietary notices on any Company Materials. The names “Singularity” and “Singularity Language” and all associated logos and product names, are intellectual property of the Company. You may not use our name or marks without our prior written consent, except as necessary to truthfully identify the Services you are using.

5. User Content and Contributions

 

The Singularity platform may allow you to create, post, or share content such as code modules, libraries, documentation snippets, comments, or other materials (“User Content”). You retain ownership of any intellectual property rights in the User Content that you create and submit. By submitting or publishing User Content on our platform, however, you grant Singularity Language, LLC a worldwide, non-exclusive, royalty-free, perpetual license to use, host, store, reproduce, modify (for technical adaptations like formatting or compatibility), display, and distribute your User Content as necessary to operate the Services. This license is solely to allow us to display and distribute your content on the platform (for example, to show your code module to other users) and to promote or improve the Services. We do not claim ownership over your User Content, and nothing in these Terms restricts your rights to use your own content outside the platform.

Your Responsibilities for User Content: You are solely responsible for all User Content you post, upload, or otherwise make available via the Services, and for any consequences of sharing that content. By posting User Content, you represent and warrant that:

  • You have all necessary rights, licenses, and permissions to submit the content and to grant the license to us described above.
     

  • Your User Content (and our use of it as permitted by the above license) does not and will not infringe or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
     

  • Your User Content does not contain any malicious code, malware, or other harmful components, and is not unlawful, defamatory, obscene, harassing, or otherwise in violation of the Acceptable Use requirements below.
     

We do not pre-screen User Content, and we are not responsible for monitoring or editing content posted by users. All opinions, advice, statements, or information provided by users (including in code or documentation form) are those of the user alone – not of Singularity Language, LLC. We do not endorse or guarantee the accuracy or reliability of any User Content. You understand that by using the Services, you may be exposed to content that is inaccurate, offensive, or otherwise objectionable. Under no circumstances will the Company be liable for any loss or damage of any kind resulting from any User Content posted on or through the Services.

Content Removal: Singularity Language, LLC reserves the right (but has no obligation) to refuse, move, edit, or remove any User Content at any time in our sole discretion, with or without notice, for any reason or no reason. We may remove content that we determine violates these Terms, the applicable license, our policies, or any applicable law, or for any other purpose. We shall not be liable for any such removal or for any failure to store or preserve content. We encourage you to keep copies or backups of any code or content you post on the platform, as we do not guarantee that content will remain available.

6. Acceptable Use and Compliance with Laws

 

We expect all users to use the Singularity Services responsibly, ethically, and in compliance with these Terms and applicable laws. You agree that you will NOT:

  • Violate Laws or Rights: Use the Services for any unlawful purpose, or in violation of any local, state, national, or international laws or regulations. This includes (but is not limited to) export control laws, data privacy laws, and any regulations governing technology or software in your jurisdiction. You are responsible for ensuring that your use of Singularity (and any technology or content you develop with it) complies with all laws and regulatory requirements that apply.
     

  • Misuse License Terms: Use the Singularity language or platform in any manner that is outside the scope of your chosen license. For example, if you are under the Personal Research Use License, you will not use the Services for commercial or funded projects. Similarly, you will not falsely claim non-commercial status to avoid fees or restrictions. Any such misuse of licensing terms is strictly prohibited.
     

  • Unauthorized Access or Security Violations: Attempt to interfere with or disrupt the integrity or proper working of the Services. This includes not engaging in any activity that interferes with or compromises the security, performance, or availability of our systems, such as launching denial-of-service attacks, introducing viruses or malicious code, or attempting to gain unauthorized access to any accounts, data, or systems. You may not attempt to reverse engineer, decompile, or hack any of the software or Services except as permitted by law and necessary to use the Service for its intended purpose.
     

  • Harmful or Objectionable Content: Post, upload, or distribute any content that is harmful, fraudulent, defamatory, obscene, sexually explicit, harassing, or otherwise objectionable. You will not use the Services to create or share content that is misleading or could be used to deceive (for example, deceptively altering content to defraud others). Note: The Company may itself use AI-generated or altered content in an open and disclosed manner for educational or promotional purposes (see Section 9 below), but users are not permitted to use the platform to maliciously deceive or harm others.
     

  • Infringement and Illegal Activities: Use the Services to violate the intellectual property rights or other rights of anyone. This means you will not upload or share content that you do not have the right to use, and you will not use Singularity tools to create modules or products that unlawfully infringe patents, copyrights, trademarks, or other protected rights. You also will not use the Services to engage in illegal activities such as fraud, cyberattacks, stalking, or any activity that would give rise to civil or criminal liability.
     

  • Disruptive Technologies and Compliance: If you use Singularity’s tools to develop emerging or disruptive technologies (for example, advanced artificial intelligence, machine learning models, autonomous systems, cryptography, etc.), you are solely responsible for ensuring that such development and any resulting applications comply with all applicable laws and regulations. This includes obtaining any necessary regulatory approvals or licenses for such technology, and adhering to ethical guidelines or industry standards. Singularity Language, LLC provides the toolset, but we do not supervise or approve your specific projects – you assume full responsibility for the ethical and legal implications of any technology you develop using our Services.
     

  • Commercial Exploitation without License: Sell, resell, or otherwise exploit the Services or access to them for any commercial purpose not expressly permitted by these Terms or your license. You may not, for example, charge others for using the Singularity platform or incorporate our software into a commercial product or service without a valid Singularity Commercial Use License or separate written agreement with the Company.
     

  • Impersonation or Misrepresentation: Misrepresent your identity or affiliation while using the Services. You must not impersonate any person or entity or falsely imply that you are associated with Singularity Language, LLC or any other users or entities. (This includes not misusing deepfake or AI technology via our platform to impersonate others in a misleading way.)
     

The above list provides examples of prohibited conduct but is not exhaustive. Singularity Language, LLC reserves the right, in its sole discretion, to determine whether any user behavior or content violates these Terms or is otherwise inappropriate or damaging to the Services, users, or third parties. Violation of this Acceptable Use policy may result in actions such as removal of content, suspension or termination of your access, and if necessary, legal action (civil or criminal) against you.

7. Enforcement and Termination

 

Monitoring and Enforcement: While we are not obligated to monitor users’ activities or content, we reserve the right to do so to ensure compliance with these Terms and to investigate any suspected violations. Singularity Language LLC, at its sole discretion, may monitor, audit, or record your use of the Services to ensure quality, improve Services, or verify compliance with these Terms.

Breach of Terms: If we determine (in our sole discretion) that you have violated these Terms, the terms of your license, or any applicable law, or if you engage in behavior that we deem abusive, disruptive, or harmful to the Services or other users, we may take one or more of the following enforcement actions with or without notice:

  • Suspension or Termination of Access: We may immediately suspend your account or access to the Services (and, if applicable, void your license) either temporarily or permanently. In serious cases or repeated violations, we may terminate your right to use the Services entirely. Once terminated, you must cease any further use of the Singularity platform and destroy any locally stored software or materials obtained through the Services, as required under the applicable license.
     

  • Content Removal: As noted, we may remove or disable access to any of your User Content that violates these Terms or that we find objectionable for any reason. We may also impose restrictions on future content uploads or feature usage.
     

  • Legal Action: Violations of these Terms or misuse of the Singularity Services (such as unauthorized commercial use, intellectual property infringement, or unlawful activities) may subject you to civil liability or criminal prosecution. Singularity Language, LLC reserves the right to report any such misuse to appropriate law enforcement authorities, and to pursue legal action to enforce its rights or seek remedies, including injunctive relief, damages, and attorneys’ fees.
     

You agree that Singularity Language, LLC shall not be liable to you or any third party for any suspension, termination, or account/content removal undertaken in good faith under these Terms. We may exercise these rights at any time and for any reason deemed appropriate in order to protect our interests and those of our users. If your account is terminated or suspended, you will remain bound by the provisions of these Terms that by their nature survive (such as intellectual property protections, disclaimers, liability limitations, and indemnification).

8. Disclaimer of Warranties

 

Use at Your Own Risk: The Singularity Services are provided on an “AS IS” and “AS AVAILABLE” basis. Your use of the Services, including any content, code, or documentation, is at your own risk. To the fullest extent permitted by applicable law, Singularity Language, LLC disclaims all warranties and representations, whether express, implied, or statutory, regarding the Services and any results you may obtain by using them. This includes, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We make no guarantee that the Services will meet your requirements or expectations, or that they will be uninterrupted, secure, or error-free. We do not warrant that any code, content, or information obtained through the Services is accurate, complete, or reliable. Singularity Language, LLC disclaims any responsibility for any harm to your computer system, loss of data, or other damage that may result from your access to or use of the Services, including any bugs, viruses, or malicious code that may be transmitted through the platform by any third party.

No Liability for Outcomes: You acknowledge that programming languages and development tools are complex, and using Singularity may yield unexpected or unintended results. We make no warranty or guarantee regarding the effectiveness, safety, or legality of any software, projects, or “disruptive technologies” (such as AI models or other innovations) that you develop using the Singularity Language. It is solely your responsibility to evaluate and test the results of using our Services. Any use cases that involve high risk (for example, deploying software in critical systems, or creating autonomous technologies) are undertaken at your own risk. We strongly recommend that you conduct thorough testing and obtain appropriate expertise and assurances when using Singularity for any critical or sensitive applications.

Some jurisdictions do not allow the exclusion of certain warranties, so to that extent, specific disclaimers above may not fully apply to you. In such cases, any warranties required by law are limited in duration to 30 days from the date of first use of the Services.

9. Limitation of Liability

 

To the fullest extent permitted by law, Singularity Language, LLC and its officers, directors, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, business opportunities, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to use) the Services, or for any content obtained through the Services, even if we have been advised of the possibility of such damages. This limitation of liability applies regardless of whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.

In particular, and without limiting the generality of the foregoing, Singularity Language, LLC will not be responsible for any liability arising from:

  • User Content: Any user-generated content (e.g., code or modules created by users). We are not liable for claims arising from content posted by others, including any infringement, defamation, or other unlawful material, and any actions taken by you in reliance on user content.
     

  • Use of the Programming Language: Any damages or harm resulting from your development or use of software using the Singularity Language. This includes any malfunction or unintended consequence in software you create, as well as any claims that such software is defective or caused harm.
     

  • Disruptive or Advanced Technologies: Any consequences of the development or deployment of technologies using Singularity that could be considered disruptive, experimental, or regulated (for example, AI systems, deepfake technology, encryption tools, etc.). You assume all risk and liability for any such projects and must ensure they comply with applicable laws. Singularity Language, LLC does not oversee your projects and will not be liable for any legal or ethical issues or damages arising from them.
     

  • Third-Party Conduct: Any conduct or content of third parties using the Services, including their illegal or wrongful acts.
     

  • Events Beyond Our Control: Any events beyond our reasonable control, including acts of God, power failures, internet outages, hardware or software failures, strikes, or governmental actions that affect the availability or performance of the Services.
     

Maximum Liability: To the extent that any liability is not legally excludable, the total cumulative liability of Singularity Language, LLC (and its affiliates and agents) to you or any third party arising out of or in connection with these Terms or the Services will in no event exceed the greater of (a) the total amount (if any) you have paid to the Company for the use of the Services in the 3 months immediately prior to the event giving rise to liability, or (b) one hundred U.S. dollars (USD $100). If you have paid nothing, our liability shall be $0. This allocation of risk is an essential element of the basis of the bargain between you and Singularity Language, LLC, and you acknowledge that we would not provide the Services without these liability limitations.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions our liability shall be limited to the minimum extent permitted by law.

10. Informed Consent to AI and Deepfake Media

 

Singularity Language, LLC is committed to transparency in how we present information. We may use artificial intelligence (“AI”) generated content, including “deepfake” technology, in our media and communications – for example, in company podcasts, live streams, demonstrations, or promotional materials. This may include synthetic voices, avatars, or other AI-generated representations that simulate real individuals for educational or illustrative purposes.

By using our Services or participating in our community, you acknowledge and agree that:

  • You are aware that some audio or visual content presented by the Company could be computer-generated or simulated (deepfakes), rather than authentic recordings of a real person. We will strive to clearly label or disclose the use of such technology when feasible, but the onus is on you to understand that its use is a possibility.
     

  • You give your informed consent to the Company’s use of AI-generated content and deepfake technology in the creation of media. You understand that this is done for legitimate purposes such as enhancing educational content, protecting privacy, or creative storytelling.
     

  • Singularity Language, LLC disclaims any liability for any direct or indirect consequences arising from the use or viewing of AI-generated or deepfake content. This includes, but is not limited to, any confusion, misunderstanding, or actions taken by viewers based on such content. The Company is not responsible for how third parties may interpret or misuse AI-generated media.
     

  • If you participate in our events (such as by asking a question in a live stream or contributing to a podcast), you acknowledge that we may record and possibly transform that participation using AI technology (for example, transcribing and creating an AI-voiced summary). We will not, however, use your likeness or voice in a deepfake without your permission outside the context of simply re-broadcasting your actual participation or as allowed under these Terms.
     

This section is intended to ensure you are fully informed about our use of innovative media techniques. We encourage our users to approach all content, especially content that is sensational or dramatic, with appropriate caution and critical thinking. If you have concerns about any content, please contact us.

11. Indemnification

 

You agree to indemnify, defend, and hold harmless Singularity Language LLC, its parent, subsidiaries, affiliates, officers, directors, employees, partners, agents, and licensors from and against any and all claims, demands, lawsuits, proceedings, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) that arise out of or relate to: (a) your use or misuse of the Services or any content you obtain through the Services; (b) your User Content (including any allegation that your content infringes or misappropriates any third party’s rights or violates any law); (c) your violation of any of these Terms or any applicable license; or (d) your development, distribution, or use of any software, content, or technology using the Singularity Language (including any claims that such use is illegal or caused harm to any third party).

We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim and you may not settle any such matter without our prior written consent. This indemnification obligation will survive any termination or expiration of your account or use of the Services.

12. Changes to these Terms

 

Singularity Language, LLC may modify or update these Terms of Service from time to time. We will post any revisions on our website and update the “Effective Date” at the top of the Terms. If we make material changes to the Terms, we will make a reasonable effort to notify you (for example, by posting a prominent notice on our site or, if appropriate, by email to registered users) in advance of the changes taking effect. By continuing to access or use the Services after updated Terms become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

We encourage you to review the Terms periodically for any changes. All changes shall be effective when posted unless a later effective date is specified.

13. General Provisions

 

Governing Law and Jurisdiction: These Terms and any dispute arising out of or relating to the Services or this agreement shall be governed by and construed in accordance with the laws of the State of Maryland, USA, and the federal laws of the United States applicable therein, without regard to conflict of law principles. You agree that any disputes or claims arising from these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Maryland, and you hereby consent to personal jurisdiction in and venue of those courts. Notwithstanding the above, we recognize that you may have certain consumer protection rights under the laws of your local jurisdiction; these Terms are not intended to limit those rights where they are not permitted to be limited by law.

No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it later. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Singularity Language, LLC.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. It is the intent of the parties that the invalid or unenforceable provision be reformed to the extent necessary to make it valid and enforceable, while preserving its original intent.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Any attempted assignment by you without consent will be null and void. Singularity Language, LLC may freely assign or transfer these Terms (in whole or in part) as well as any rights or obligations hereunder to any third party, including in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Entire Agreement: These Terms, together with any Additional License Agreements (the Singularity Commercial Use License or Personal Research Use License, as applicable), constitute the entire agreement between you and Singularity Language, LLC regarding your use of the Services. They supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Services or any subject matter covered by these Terms. In the event of any conflict between these Terms and any license terms or other agreements, these Terms shall govern as to your use of the Services, except where the license is a separate negotiated contract signed by Singularity Language, LLC (in which case that contract may supersede these default terms to the extent of the conflict).

No Third-Party Beneficiaries: These Terms are for the benefit of you and Singularity Language, LLC (including our successors and assigns) only. Except as expressly provided in these Terms, no third party has any rights under this agreement.
